Nira Terms of Service

1. Acceptance of Terms

1.1 This agreement is a legally binding contract between you ("User," "you") and CogCloud ("we," "us," "the Platform") governing your use of the Nira application and related services (collectively, "the Service").

1.2 Registration constitutes contract formation. By completing the registration process, you confirm that you have read, understood, and agree to be bound by all terms of this Agreement.

1.3 Under the Singapore Contract Act, contracts entered into by minors may be voidable. We address this through the provisions below to protect the interests of both parties.

1.4 If you do not agree to any provision of this Agreement, please do not register for or use the Service.

4.1 Account Security

4.2 QS — Platform Internal Access Rights

4.2.1 Legal Nature
QS is a platform internal access right, not a currency, security, or financial product. QS:

QS may be consumed for features and services as displayed in the in-app "QS Pricing" page. The Platform reserves the right to adjust QS pricing for any feature or service at any time, with prior notice within the app.

Exclusive Avatar distillation is offered at four cleaning levels:

The Platform reserves the right of final interpretation regarding all QS-related rules, pricing, and usage policies. Users will be notified of material changes via in-app pop-up or email.

4.3 Guardian Waiver of Repayment Claims

When a guardian of a 15–17-year-old user completes guardian verification, the guardian is deemed to have consented to the minor user's independent QS consumption. The guardian may not seek a refund of consumed QS on the grounds of the minor's lack of contractual capacity.

5. User Conduct

6.4 Service Interruption Disclaimer

The Platform does not guarantee uninterrupted service. The Platform is not liable for service interruptions caused by force majeure, including network failures, hardware failures, or third-party service disruptions. The Platform will make reasonable efforts to restore service.

7. Intellectual Property and Content License

7.1 Platform Content

All code, design, official personas, and UI elements of Nira are the intellectual property of CogCloud.

7.2 User-Generated Content

7.3 Allocation of Liability

The creator who uploads materials bears full legal responsibility for all text, voice, and video content generated by the Exclusive Avatar. The Platform provides only technical services, does not warrant the truthfulness or legality of generated content, and bears no liability for user misuse or infringement.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" basis without warranties of any kind, express or implied.
